Public Offer Agreement
for the creation of AI visual content and websites
Version of 2 November 2026
This document is the official proposal (public offer) of the Contractor, Julia Figlovska (Figlovska AI), to enter into an agreement for the creation of AI visual content and websites on the terms set out below. Payment of the prepayment by the Client constitutes full and unconditional acceptance of this offer as an agreement of accession. By making the prepayment, the Client confirms that they have read, understood and fully agree to the terms of this agreement.
1. Subject of the agreement
1.1. The Contractor provides the Client with services for creating visual content using artificial intelligence technologies (AI video, AI Edit video, AI cartoons, AI photoshoots, brand photos, video editing), as well as website creation services for brands and experts, in accordance with the Contractor's price list published at figlovska-ai.pages.dev.
1.2. The specific services, their cost, timeline and scope are agreed by the parties in writing (messenger, email) before work begins and form an integral part of this agreement.
2. Price and payment
2.1. The cost of services is based on the Contractor's price list and may be adjusted depending on complexity, the number of looks and locations, video length, website scope and revisions. Prices in the price list are stated in euros; the payment method and currency are agreed by the parties.
2.2. The Client makes a prepayment of 50% of the agreed cost before work begins. Work starts only after the prepayment has been received.
2.3. The remaining 50% is paid after the final result has been presented, before the files are delivered in full resolution without watermarks (for websites: before the website is published or access is handed over).
2.4. The Contractor provides payment details to the Client when the order is agreed.
2.5. The prepayment is non-refundable if the Client unilaterally cancels the service after work has begun, unless the cancellation is caused by the Contractor's failure to fulfil their obligations.
3. Revisions and changes
3.1. The price includes 3 (three) rounds of revisions within the agreed brief.
3.2. A revision is an adjustment to material already created (changing details, color, angle, text, etc.) that does not change the essence of the brief. Creating a fundamentally new concept, look, script or website structure is considered a new order and is paid separately.
3.3. Each revision beyond those included is charged additionally: €3 per photo, €5 per video. The cost of additional website changes is agreed separately.
3.4. The Client provides revision requests within the agreed period after receiving the interim result. Absence of comments within this period is deemed approval of the result.
4. Materials provided by the Client
4.1. For AI photoshoots of a real person, the Client provides photos that meet the following requirements: good image quality (no blur, noise or heavy compression), good even lighting, portrait photos from different angles (front, profile, three-quarter), no other people in the frame, no filters, glasses, masks, hats or other accessories covering the face.
4.2. For AI Edit video, the Client provides their own video filmed on a phone in daylight and an example of the desired background or look. For ad videos and brand photos: photos of the product from several sides and information about the brand.
4.3. For website creation, the Client provides texts, photos, videos, a logo and other materials, unless otherwise agreed by the parties.
4.4. If materials of inadequate quality are provided, the Contractor may request additional materials, which may affect the timeline. The Contractor is not responsible for the quality of the result if it is caused by the quality of the Client's source materials.
4.5. By providing materials, the Client confirms that they have the legal right to use them (they are the Client's own materials or a third party's materials used with their consent) and bears full responsibility for the accuracy of this confirmation.
5. Website creation
5.1. The structure, design, sections and features of the website are agreed by the parties before work begins.
5.2. The Client pays for the domain name, paid hosting, third-party services and paid integrations, unless otherwise agreed by the parties. The Contractor may host the website on free hosting.
5.3. After full payment, the Contractor hands over to the Client the website, files and access needed for its further use.
5.4. Ongoing support, updates and changes to the website after delivery are not included in the price and are paid separately as agreed by the parties.
5.5. The Contractor is not responsible for the operation of third-party services (hosting, domain, form services, messengers, etc.) or for changes made to the website by the Client or third parties after delivery.
6. Restrictions and prohibited content
6.1. The Contractor does not create content that: is erotic or pornographic; degrades human honor and dignity; incites racial, religious, national or other hatred; promotes violence, illegal activity, weapons or drugs; infringes third parties' intellectual property rights (other people's logos, characters or trademarks without the relevant rights); or otherwise violates the laws of Ukraine.
6.2. If the Client's request falls under these restrictions, the Contractor may refuse the order. If a prepayment has already been made, it is refunded minus the cost of work actually performed (if any).
6.3. The Contractor may decline cooperation without giving reasons before the prepayment is made.
7. Specifics of AI technology and liability
7.1. The Client understands and agrees that the result is created using artificial intelligence technologies, which have technical specifics and limitations.
7.2. For reasons of safety, ethical use of AI and personal data protection, the Contractor does not guarantee a 100% transfer of a real person's facial features to the generated image or video. The result is an artistic AI interpretation of appearance, not an exact digital copy.
7.3. The Contractor does not guarantee that the generated content will be fully identical to the Client's references or expectations, as this is inherent to how neural networks work. The result is brought in line with expectations within the revisions provided for in section 3.
7.4. The Contractor is not responsible for the Client's further use of the finished materials, including their compliance with advertising laws, advertising platform policies (Meta, Google, TikTok, etc.) or third-party requirements.
8. Timeline
8.1. The estimated timeline is agreed individually before work begins and depends on the complexity, scope and the Contractor's workload. Urgent orders are discussed separately.
8.2. The timeline may be extended in case of delays on the Client's side (late provision of materials, answers to questions, payment, etc.) or in case of force majeure.
9. Rights to the content
9.1. Exclusive property rights to the finished content and website pass to the Client after full payment.
9.2. Until full payment, all rights to the materials created remain with the Contractor. The Client may not use unpaid or interim (watermarked) materials.
9.3. The Contractor may use the works created (or fragments of them) in their portfolio, on their website, on social media and in other promotional materials to showcase their services, with or without naming the Client, unless otherwise agreed with the Client in writing.
10. Force majeure
10.1. The parties are released from liability for partial or complete failure to perform their obligations if this results from force majeure: war, military operations, power and communication outages, failures of AI services, hosting and other technical platforms, actions of authorities and other circumstances beyond the parties' reasonable control.
11. Confidentiality
11.1. The Contractor undertakes not to share the Client's materials (photos, videos, references, briefs) with third parties, except where agreed with the Client or necessary for the technical process of creating content (for example, processing through specialized AI services).
12. Final provisions
12.1. Payment of the prepayment by the Client confirms that they have read this offer agreement in full and agree to it.
12.2. All disputes are resolved through negotiation and, failing agreement, in accordance with the laws of Ukraine.
12.3. The Contractor may amend the terms of this offer and the price list. The terms agreed at the time of the prepayment for a specific order remain unchanged for that order.
12.4. This agreement is published in Ukrainian and English. In case of any discrepancy, the Ukrainian version prevails.
